Terms of Service

Yieldly, operated by Sensa Inc. ("Sensa," "we," "us," or "our")

Please read these Terms carefully. They contain important provisions, including a binding arbitration agreement and class-action waiver (Section 21), a limitation of liability (Section 18), and disclaimers that Yieldly is a software tool and does not provide investment advice (Sections 13–15). By creating an account or using the Service, you agree to these Terms.

Definitions

In these Terms:

  • "Service" means the Yieldly website, applications, APIs, and related tools and features operated by Sensa Inc.
  • "Broker" means a third-party brokerage, exchange, or trading venue that you connect to the Service in order to import account data and/or to receive order instructions.
  • "Automated Features" means any feature that can generate or transmit order instructions without further human review once you have enabled and armed it, including signals, rules, webhook-driven execution, and "auto-trade" arming.
  • "AI Features" means features that use artificial-intelligence models to generate content such as summaries, insights, suggestions, proposals, or chat responses.
  • "Market Data" means quotes, prices, fundamentals, news, corporate-action data, and other market information made available through the Service and sourced from third-party providers.
  • "User Content" means any data, content, or material you submit, post, or make available through the Service, including journal entries, notes, voice memos, playbook entries, reviews, comments, and other content you share in community or social features.

1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and Sensa Inc. governing your access to and use of the Yieldly website, applications, APIs, and related services (collectively, the "Service"). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law, or if you are located in, or are a national or resident of, any jurisdiction subject to comprehensive sanctions or embargoes (see Section 22, Export Controls and Sanctions).

3. The Service

Yieldly is a software-as-a-service platform that provides trading-related tools, which may include charting, market screening, a trade journal and analytics, signal processing, market-intelligence summaries, automated and AI-assisted features, notifications, and optional connections to third-party brokerage and market-data providers.

The Service is a software and analytics tool provided for informational and educational purposes only. It is not, and does not provide, brokerage, custody, clearing, money-management, tax, legal, or accounting services. See Sections 13–15.

We may add, change, suspend, withdraw, or discontinue any part of the Service, including any feature, function, limit, or entitlement included in any subscription plan or tier, at any time and with or without notice to you. Features are not guaranteed to remain available in any plan or tier, and we may remove a feature or move it to a different tier without liability to you.

Where we remove a feature that your current paid plan or tier includes, or move it to a higher tier, we will provide notice before your next renewal so that you may cancel before being charged for the following term. This notice commitment does not apply to features identified as beta, preview, or experimental (Section 27), or to changes we make for legal, regulatory, security, or third-party-provider reasons.

Nothing in this Section limits any right that applicable law gives you and that cannot be waived.

4. Accounts and Security

To use most features you must register for an account and provide accurate, current information. You are responsible for:

  • maintaining the confidentiality of your credentials, API tokens, and webhook secrets;
  • all activity that occurs under your account; and
  • promptly notifying us at support@yieldlytrade.com of any unauthorized use or security breach.

You may not share your account, sell access, or permit others to use your credentials. We are not liable for any loss arising from your failure to safeguard your account.

5. Broker Connections and Automated Trading

This Section is fundamental to your use of the Service. Read it together with Section 6 (Broker Integration Disclosure), Section 7 (Self-Directed Use), and the Risk Disclosure.

The Service may allow you to connect third-party brokerage accounts and to configure features — including signal-driven execution, rule-based automation, and "auto-trade" arming — that can transmit order instructions to your connected broker on your behalf.

By connecting a broker and enabling any execution or automation feature, you acknowledge and agree that:

  • You authorize the Service to transmit order and account instructions to your connected broker as directed by your configuration, including instructions generated automatically by rules, signals, webhooks, or AI-assisted features that you have enabled and armed.
  • You are solely responsible for the configuration of any automated feature, for arming and disarming it, and for the consequences of any resulting orders, whether or not you reviewed each order in advance.
  • Automation acts without human review. Once armed, automated features may submit orders without further confirmation from you. You are responsible for monitoring your account and for using available safeguards (including caps, cooldowns, and the kill-switch/disarm controls).
  • Execution is performed by your broker, not by Sensa. Sensa does not hold your funds or securities, does not execute or clear trades, and does not act as a broker-dealer, futures commission merchant, or custodian.

You may disable automated features and disconnect brokers at any time through the Service. Disconnecting a broker does not cancel orders already transmitted to or working at the broker.

You are responsible for complying with your Broker's agreements, rules, and any trading restrictions, permissions, or eligibility requirements that apply to your connected accounts.

Certain advanced execution features may operate under separate entitlement and authorization controls, and may be subject to additional requirements, confirmation, or eligibility before they are available to you.

Simulated / paper accounts. Some brokers and account types the Service supports are paper-trading or simulated environments that do not place real orders or involve real funds. Simulated results do not reflect real-market execution, fees, liquidity, or slippage, and are not indicative of real or future performance. You are responsible for knowing whether a connected account is live or simulated before relying on it.

Proprietary trading firm and evaluation accounts. If you connect a proprietary trading firm or funded-evaluation account, you are solely responsible for complying with that firm's rules, evaluation criteria, and restrictions. We do not guarantee that the Service is compatible with, or will not cause you to violate, any such firm's rules.

6. Broker Integration Disclosure

Because the Service connects to brokerage accounts and can submit orders, you specifically acknowledge and agree that:

  1. Authorization. You authorize Sensa to transmit instructions to your connected brokers based on your settings and the features you enable.
  2. Order handling is outside our control. Orders may be delayed, rejected, partially filled, modified, or canceled by the broker, the exchange, or the market, for reasons including connectivity issues, risk controls, insufficient funds or margin, market conditions, or trading halts.
  3. Broker records control. In the event of any discrepancy between the Service's records and your broker's records, your broker's records govern the status, execution, and disposition of your orders, positions, and account balances.
  4. No responsibility for third-party failures. Sensa is not responsible for broker outages, downtime, latency, market halts, exchange or clearing issues, data discrepancies, rejected or unfilled orders, or any other event arising from your broker, exchange, market-data provider, or other third party.
  5. You remain responsible for your account. You remain solely responsible for monitoring your connected accounts, orders, and positions, and for taking any action required to manage risk, including independently contacting your broker.
  6. We may modify or discontinue broker connectivity. We may add, modify, suspend, or discontinue connectivity with any Broker at any time, with or without notice, including where a Broker changes its API, terms, or availability to us.

7. Self-Directed Use and Prohibited Third-Party Services

The Service is a self-directed automation tool. Sensa Inc. is not a registered investment adviser, does not provide managed-account or discretionary trading services, and does not charge performance-based fees. You retain full discretion and control over your account.

  • You configure and control your own account. You are solely responsible for initiating, authorizing, reviewing, and maintaining your own account configuration, including all trading parameters, rules, signals, and Automated Features.
  • No third-party operation of your account. No person or service other than you may perform setup or ongoing configuration of your strategies, rules, or Automated Features, or direct trading in your account through individualized recommendations made on your behalf.
  • No credential sharing for account operation. You may not share your Service login credentials or your Broker credentials with any third party for the purpose of having that third party operate or configure your account.
  • No managed or "done-for-you" services. You may not use the Service as part of a managed-account, "done-for-you" configuration, or concierge trading arrangement provided by a third party.
  • No performance-based third-party compensation. You may not arrange for any third party to receive profit-sharing or revenue tied to your trading activity through the Service, except in connection with a direct relationship with a proprietary trading firm.
  • Independent judgment required. You must exercise your own independent discretion in configuring and operating your account. You may not delegate that responsibility to another individual or act on individualized directives from a third party transmitted through the Service.
  • Permitted third-party tools. Standardized software, signal services, and algorithmic tools that operate through webhooks, APIs, or similar integrations available to all users on the same terms are permitted. You are solely responsible for selecting, authorizing, and monitoring any such third-party tool.
  • Permitted education. General educational content, tutorials, documentation, and non-personalized guidance are permitted. Personalized, individualized trading direction from a human third party is not.
  • Enforcement. We may suspend or terminate your access, without refund, if we reasonably determine you have violated this Section.

8. Your Obligations and Acceptable Use

You agree not to, and not to permit others to:

  • use the Service in violation of any applicable law, regulation, exchange rule, or third-party agreement (including your broker's or data provider's terms);
  • engage in market manipulation, fraud, or any unlawful trading activity;
  • access the Service through automated means except via interfaces we provide, or exceed documented rate limits;
  • reverse-engineer, decompile, scrape, or attempt to derive source code, except to the extent this restriction is prohibited by law;
  • introduce malware, interfere with or disrupt the Service, or attempt to gain unauthorized access to any system or account;
  • resell, sublicense, share, or commercially exploit the Service or your subscription, or allow a third party to access the Service through your account, without our written permission;
  • solicit other users of the Service to use a competing product or service; or
  • misuse webhooks, API tokens, or shared secrets, including transmitting instructions you are not authorized to send.

We may terminate or suspend a shared or resold account without refund.

9. User Content

  • You own your content. As between you and Sensa, you retain ownership of your User Content.
  • You are responsible for it. You are solely responsible for your User Content, and you represent that you have the necessary rights to post it and that it does not violate these Terms, any third party's rights, or applicable law.
  • License to us. You grant Sensa a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and display your User Content solely to operate, maintain, secure, support, and improve the Service and to provide features you request or enable, including any community or social features you choose to use. This license ends when you delete the content or your account, except to the extent retained copies persist in backups for a limited period or as required by law.
  • We do not endorse User Content. We do not review User Content before it is posted and do not endorse or verify the accuracy of any User Content, including content shared by other users in community or social features.
  • Passive conduit. Where the Service allows you to view content shared by other users (such as playbooks, reviews, or comments), we act as a passive conduit for that content and are not responsible for its accuracy or your reliance on it. See Sections 13–15.
  • Moderation. We may review, remove, or restrict access to User Content that we reasonably believe violates these Terms, applicable law, or the rights of others, with or without notice.
  • Reporting. If you believe User Content infringes your rights or violates these Terms, contact support@yieldlytrade.com.

10. Third-Party Services and Market Data

The Service integrates with third parties, including brokers, market-data providers, payment processors, AI providers, and communication providers. Your use of those services is governed by their terms, and we are not responsible for their acts or omissions. Market data and related information are subject to the Market Data Disclaimer in Section 16.

11. Fees, Subscriptions, and Billing

Certain features require a paid subscription.

  • Billing and renewal. Paid plans are billed in advance on a recurring basis (monthly or annual) and automatically renew until canceled. By subscribing, you authorize us and our payment processor to charge your payment method for each renewal term at the then-current price.
  • Free trials. We may offer a free trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method is charged at the then-current price. Trial eligibility and length are disclosed at sign-up; trials may be limited to new users and may be modified or withdrawn at any time.
  • Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. You are responsible for canceling before a renewal if you do not wish to be charged.
  • Price changes. We may change prices. Changes apply to renewal terms after we provide reasonable advance notice.
  • Feature changes. Features, limits, and entitlements included in a plan or tier may be withdrawn, changed, or moved to another tier as described in Section 3. Refunds are not granted on a per-feature basis, and no change to the Service or to any plan or tier, including withdrawing a feature, entitles you to a refund, credit, or price reduction, subject to Section 3 and to our Refund Policy.
  • Taxes. Fees are exclusive of taxes, which you are responsible for.
  • Refunds. Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

12. Licenses and Intellectual Property

The Service, including all software, content, and trademarks, is owned by Sensa Inc. or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal, lawful use.

We do not sell your User Content, and we do not use your User Content to train third-party AI models (see the AI Disclosure and Section 9).

13. Not Investment Advice

Yieldly does not provide investment, financial, legal, tax, or accounting advice, and nothing in the Service is a recommendation to buy, sell, or hold any security, contract, or other financial instrument. Sensa Inc. is not a registered investment adviser, broker-dealer, futures commission merchant, or commodity trading advisor, and the Service is not a substitute for advice from a licensed professional.

All output of the Service — including charts, screens, signals, analytics, market-intelligence summaries, AI-generated content, proposals, and automated features — is provided for informational and educational purposes only and is general in nature, not tailored to your circumstances.

14. Investment Decisions and Independent Verification

You are solely responsible for your own investment and trading decisions. Before acting on any information from the Service, you should conduct your own due diligence, consult your own licensed advisers, and independently verify information, including against your broker and primary data sources. Any reliance you place on the Service is at your own risk.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR ACCURATE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY RESULT OR OUTCOME WILL BE ACHIEVED. PAST PERFORMANCE AND BACKTESTED OR HYPOTHETICAL RESULTS ARE NOT INDICATIVE OF FUTURE RESULTS. SEE THE RISK DISCLOSURE.

16. Market Data Disclaimer

Market data, quotes, fundamentals, news, corporate-action information, and other data made available through the Service are provided by third-party data providers and are subject to the following:

  • Delays. Data may be delayed and should not be assumed to be real-time. We do not guarantee real-time accuracy.
  • Missing or incomplete data. Data may be missing, incomplete, or unavailable, including during outages or for certain symbols, asset classes, or time periods.
  • Corporate actions. Adjustments for splits, dividends, symbol changes, and other corporate actions may be inaccurate, delayed, or absent.
  • No guarantee. We do not guarantee the accuracy, completeness, timeliness, or sequencing of any data, and we are not liable for any loss arising from reliance on it.
  • Real-time exchange market data. Where the Service offers real-time exchange market data, your access is additionally governed by the Market Data Subscriber Agreement and the Exchange Data Disclosures & Fee Schedule, which include exchange use and redistribution restrictions, professional / non-professional subscriber classification, applicable exchange fees (non-refundable), exchange-specific disclaimers, and audit obligations. By accessing real-time exchange data you agree to those terms and certify your subscriber classification. Some data sets may remain delayed and/or sourced from third-party providers.

You should verify all data against your broker and primary sources before acting on it.

17. Term, Suspension, and Termination

These Terms apply while you use the Service. You may stop using the Service and delete your account at any time.

We may suspend, restrict, or terminate your access, remove content, or revoke API and webhook access, with or without prior notice, where we reasonably believe it is necessary to protect the Service or others — including for actual or suspected security incidents, fraud, abuse, violation of these Terms or law, non-payment, or as required for compliance. Where practical and lawful, we will provide notice.

Upon termination, your license ends and we may delete your data subject to the Privacy Policy and applicable law. Sections that by their nature should survive (including Sections 6, 9, 12–16, 18–24, and 26) survive termination.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • SENSA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST TRADING GAINS, TRADING LOSSES, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
  • SENSA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID TO SENSA FOR THE SERVICE IN THE ONE (1) MONTH PERIOD IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, the above applies to the maximum extent permitted. These limitations are a fundamental basis of the bargain between you and Sensa.

19. Indemnification

You agree to indemnify and hold harmless Sensa Inc. and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, your trading and investment decisions, your connected accounts, or your violation of these Terms or applicable law.

20. Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and, where applicable, the Federal Arbitration Act.

21. Dispute Resolution — Binding Arbitration and Class-Action Waiver

Please read this Section carefully — it affects your legal rights.

  • Informal resolution first. Before filing a claim, you agree to contact us at support@yieldlytrade.com and attempt to resolve the dispute informally for at least 30 days.
  • Binding arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by a recognized arbitration provider under its consumer rules, on an individual basis. The arbitration will be seated in California (or by videoconference), and judgment may be entered in any court of competent jurisdiction.
  • Class-action waiver. You and Sensa agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding.
  • Jury trial waiver. To the fullest extent permitted by law, you and Sensa each waive any right to a trial by jury for any claim arising out of or relating to these Terms or the Service, whether the claim is heard in arbitration or in court under one of the exceptions below.
  • Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief for intellectual-property or unauthorized-access matters in court.
  • Opt-out. You may opt out of this arbitration agreement by emailing support@yieldlytrade.com within 30 days of first accepting these Terms.
  • Time to file. Any claim arising out of or relating to these Terms or the Service must be filed within two (2) years after the claim arose, or it is permanently barred.

22. Export Controls and Sanctions

You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive sanctions or embargoes, and that you are not on any government restricted-party or denied-party list. You agree to comply with all applicable export-control and economic-sanctions laws, and you may not use the Service in any sanctioned jurisdiction or in violation of such laws.

23. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app notice) and update the "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance.

24. General

  • Entire agreement. These Terms, together with the Privacy Policy, Risk Disclosure, Refund Policy, Cookie Policy, and AI Disclosure, are the entire agreement between you and Sensa regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • No agency. No partnership, agency, fiduciary, or employment relationship is created by these Terms.
  • Notices and contact. Questions about these Terms: support@yieldlytrade.com.

25. California Residents

Under California Civil Code § 1789.3, California residents are entitled to the following notice: the Service is provided by Sensa Inc. If you have a question or complaint regarding the Service, contact us at support@yieldlytrade.com . California residents may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

By creating an account or using the Service, you consent to receive communications from us electronically — including these Terms, the other policies referenced here, disclosures, notices, and account and transactional messages — by email, by posting in the Service, or by other electronic means. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw this consent by closing your account, but doing so may prevent your continued use of the Service. You are responsible for keeping your email address current.

27. Beta, Preview, and Experimental Features

Parts of the Service are released as beta, preview, early-access, or experimental features. We may label them as such in the Service, ship them disabled by default, or make them available only to selected accounts.

  • Beta features are provided for evaluation only, may be incomplete, may produce inaccurate or unreliable output, and may change, break, or be withdrawn at any time without notice.
  • Scores, rankings, probabilities, confidence values, and similar quantitative outputs may be uncalibrated — that is, not yet validated against historical outcomes — and should be treated as display information rather than a measured likelihood.
  • Beta features carry no service-level commitment, and Section 15 (Disclaimers) and Section 18 (Limitation of Liability) apply to them in full.
  • Do not rely on a beta feature to make or automate a trading decision. Where a beta feature can generate or transmit orders, you enable it at your own risk and remain solely responsible for the resulting orders under Sections 5 and 14.

Enabling a beta feature does not entitle you to its continued availability, and we may remove it, change its behavior, or move it to a different plan.

The Service may contain links to, or integrations with, third-party brokers, data providers, and other products and services.

  • We may receive compensation — including referral fees, revenue share, or other commercial benefits — when you sign up for or use certain third-party services through the Service. Where we do, we disclose it at or near the point of the link, consistent with applicable advertising and endorsement rules.
  • Compensation does not constitute a recommendation. The presence of a broker, data provider, or other third party in the Service is not an endorsement, a recommendation, or advice that the service is suitable for you, and does not mean we have evaluated it on your behalf. See Sections 13 and 14.
  • You transact with the third party, not with us. Your relationship with any third-party broker or provider is governed by that party's own agreement. We are not a party to it and are not responsible for its products, pricing, execution, or conduct.
  • We do not pay for testimonials or reviews, and we do not condition access to the Service on providing one. See the Risk Disclosure for how user-shared results and community content should be interpreted.
